Terms & Conditions
1. Search Engine Marketing Services
This agreement comprises the terms and conditions of the Online Marketing Xperts Online Marketing and Web Design Services
1.1 The Services shall be provided to you from the Service Commencement Date for the minimum period specified in the offer, or, if no minimum period was specified, for 12 months from the Commencement Date for SEO services and 1 month for PPC (Initial Period).
1.2 Online Marketing Xperts Pay Per Click Services is subject to the terms and conditions of Google AdWords and Yahoo Search Marketing
1.3 You agree to provide Online Marketing Xperts with any information, material, excerpts of or links from or to any content ( Your Web Site Information) on Your Web Site reasonably requested by Online Marketing Xperts, to assist Online Marketing Xperts with providing the Services to you.
1.4 You will notify Online Marketing Xperts if you or any other person alters, any element of the textual content, content structure, graphical content and/or source code of Your Web Site, at any time during the Service Period, as this may impact the service delivery. Any changes to said content may render any guarantee void.
1.5 Unless otherwise stated, all fees are payable in advance and non-refundable. If Scheduled Payments have not been made, as per these Terms and Conditions and the agreement, your account will be suspended until payment has been received.
1.6 You acknowledge that for Pay Per Click, Facebook Advertising and local business Advertising, Online Marketing Xperts will charge you a Management fee which is an additional cost to your Ad Spend or Advertising Budget
1.7 Whilst Online Marketing Xperts takes all care in implementing our search marketing services it is unable to guarantee specific rankings in the major search engines. However Online Marketing Xperts agrees that if you are not ranked on 1st page for minimum number of your Keywords within the agreed timeframe for SEO Services as per SEO packages, we will work for free until we do.
1.8 You may cancel the Services within one business day of the Commencement Date. You may cancel after the Agreed Period by providing 30 days notice in writing or by email to support@onlinemarketingxperts.com.au
1.9 If you cancel prior to expiration of the Agreed Period, cancellation fees will be payable equal to Total Contact Value for the initial period less amounts paid to date.
2. Web Design
2.1 Online Marketing Xperts will provide web design services base on the proposal and/or web design agreement signed with the client.
2.2 The client agrees to abide by the terms disclosed in the Online Marketing Xperts Terms and conditions and any contractual agreement made in the Proposal and or Web design Agreement
2.3 If any function offered is not functional, Online Marketing Xperts will refund the amount paid for that project within 14 days of the project deadline
2.4 Online Marketing Xperts will use the information provided by the client only for the purpose of providing Web Design Services. To the extent required, Online Marketing Xperts will disclose information related to the project to our Employees and or subcontractors solely for the purposes of providing the services agreed upon.
2.5 Online Marketing Xperts is not responsible for any contents provided by the client to develop the website. Any extra content purchased to develop the website might cost extra such as image, flash, videos and audios.
2.6 All packages come with 1 year free hosting and minor updates. Support is provided by Online Marketing Xperts and/or our sub-contractors.
2.7 After completion of the project, once final payment has been received by Online Marketing Xperts, a website softcopy will be provided to the client. The client will become the owner of the website and the client can engage a third party to redesign or modify the website. We agree to destroy all materials provided by the client to develop the website.
2.8 After signing web agreement, the project cannot be withdrawn. If the client cancels the web agreement before completion of the project, the client agrees to pay Online Marketing Xperts for the total cost of the web design project.
3. Other Services
3.1 In circumstances where the client engages Online Marketing Xperts to provide services not mentioned above, the client agrees to abide by the terms The proposal or The signed Agreement.
3.2 Online Marketing Xperts agrees not to disclose The client confidential Information except for the purpose of rendering the agreed services. The client agrees that Online Marketing Xperts may disclose certain information to its employees and or subcontractors solely for the purpose of rendering services to the client and the client agrees not to disclose Online Marketing Xperts Confidential Information.
3.3 All pricing for services rendered are according to Online Marketing Xperts website and or The Proposal or The agreement verbal or in writing. The client agrees to pay Online Marketing Xperts for all services rendered on agreed date.
3.4 Online Marketing Xperts may cancel any agreement with the client for non-payment. In circumstances where an agreement is terminated, The Client agrees to pay Online Marketing Xperts for the total contract amount.
3.5 You may cancel after the Agreed period by providing 30 days notice in writing or by email to support@onlinemarketingxperts.com.au
4. Warranties & Liabilities
4.1 Neither Your Web Site nor any of the content of Your Web Site collectively Your Web Site Property will infringe the intellectual property or any other rights of any third party and Your Web Site Property will at all times comply with all laws required to be complied with by you.
4.2 Online Marketing Xperts, its subsidiaries, affiliates, officers, agents and other partners and its and their respective employees from and against all damages, liabilities, actions, causes of action, suits, claims, demands, losses, costs and expenses (including without limitation reasonable attorneys fees and disbursements and court costs) arising from or in connection with the Customers information, the Customers use of Online Marketing Xperts services.
4.3 Unless otherwise specifically provided in this agreement, you agree that you shall have no right, title, claims or interest in or to Our Intellectual Property.
4.4 You agree to maintain the confidentiality of the Confidential Information and to use the Confidential Information only to the extent necessary for legitimate business uses in connection with this agreement.
